Welcome to Haize. By accessing or using our website at haize.tech (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with these Terms, do not use the Platform.

1. Definitions

"Haize," "we," "us," or "our" refers to the operator of the Platform. "User," "you," or "your" refers to any individual or entity that accesses or uses the Platform, whether as a buyer, supplier, or visitor.

2. Platform Description

Haize is a B2B sourcing platform that connects wholesale buyers with verified manufacturers and suppliers. We facilitate introductions and provide tools for product discovery, inquiries, and trade communication. Haize does not take title to goods and is not a party to transactions between buyers and suppliers unless explicitly stated.

3. Account Registration

• You must provide accurate, current, and complete information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must be at least 18 years old and authorized to act on behalf of your organization.
• One account per business entity unless otherwise authorized by Haize.

4. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
• Submit false, misleading, or fraudulent information, including product listings or business credentials.
• Scrape, harvest, or extract data from the Platform without written consent.
• Interfere with or disrupt the Platform's infrastructure, security, or other users' access.
• Use the Platform to spam, harass, or send unsolicited communications to other users.
• Circumvent, disable, or otherwise interfere with security-related features.

5. Intellectual Property

All content on the Platform, including text, graphics, logos, images, and software, is the property of Haize or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from Platform content without express written permission.

Product images and descriptions uploaded by suppliers remain the intellectual property of the respective supplier. By uploading content, suppliers grant Haize a non-exclusive, worldwide license to display and promote that content on the Platform and in marketing materials.

6. Transactions Between Users

Haize facilitates connections between buyers and suppliers but is not responsible for the quality, safety, legality, or delivery of products listed on the Platform. Buyers and suppliers are solely responsible for the terms of their transactions, including pricing, payment, shipping, and returns.

Where Haize provides payment processing, logistics tracking, or escrow services, additional terms specific to those services will apply.

7. Fees and Payments

Certain features of the Platform may require payment, including subscription plans, commissions, or listing fees. All fees are described on the Platform at the time of purchase. Haize reserves the right to change pricing with 30 days' notice to affected users.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Haize shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from:

• Your use of or inability to use the Platform.
• Any transactions or relationships between buyers and suppliers.
• Any content posted by users on the Platform.
• Unauthorized access to or alteration of your data.

In no event shall Haize's total liability exceed the amounts paid by you to Haize in the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Indemnification

You agree to indemnify and hold harmless Haize and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Platform or violation of these Terms.

11. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion, with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination will survive.

12. Dispute Resolution

Any dispute arising from these Terms or your use of the Platform shall first be resolved through good-faith negotiation. If the dispute cannot be resolved informally within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the United States, and the language shall be English.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

14. Modifications

Haize reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.
